CarerWise Ltd
Definitions:
“Account holder” means individuals or an incorporated body or charity using the CarerWise platform to search or advertise for domiciliary care and/or engage to hire a carer/s and enter into a service agreement with carer/s.
“Care recipient” means an individual or incorporated body that accesses care through the CarerWise Platform. The account holder and the care recipient can be the same person.
“Carer”, “care assistant,” “care worker” and “personal assistant” are all inter-changeable terms used to describe approved carers on the CarerWise platform.
“Client” is the term used to describe an account holder in the context of their contractual relationship with a carer.
“CarerWise” or the “CarerWise platform” is a Web based health tech introductory platform, for use in Adult Health and Social Care, provided via the CarerWise Ltd platform.
“Commercial/Institutional account holders” are non-individual account holders and other third parties who may perform services for clients or carers and may transact on the platform under differing terms and conditions and in particular offer additional payment terms.
“Vaccine” currently relates to any Covid-19 vaccine (either first or subsequent doses) administered to an approved carer.
Terms
- These terms and conditions are available on www.CarerWise.com. Our full company name is CarerWise Limited, our registered company number is 14937558 and our registered address is at 1 Mere Lynches Close, South Petherton, Somerset, TA13 5BH. Our main trading address is 1 Mere Lynches Close, South Petherton, Somerset, TA13 5BH
Though as a technology platform CarerWise is not regulated by the Care Quality Commission ‘CQC,’ (Care Inspectorate Scotland) (Care Inspectorate Wales) (RQIA Northern Ireland), we as a group aspire to the fundamental standards of the Care Quality Commission and expect all carers to equally aspire to meet these standards, which are; Safe, Effective, Caring, Responsive and Well-Led.
- These terms, together with the other terms and policies referred to in section 1.5 below, govern the basis on which we provide the services available on this internet platform. Please read these terms before using the platform. Please also note access to the CarerWise platform is a privilege not a right.
- If you use our platform you agree to be bound by these terms. These terms form a legally binding contract between you and us and govern your use of the platform. If you do anything to breach these terms, we have the right to terminate your account and your right to use the platform with immediate effect.
- We may change the features of our platform from time to time. Also, we may change these terms from time to time. If a revision is material, we nearly always (but are not obliged to) notify you. If you continue to use our platform to receive jobs or receive services from carers after any revisions take effect, then you will be taken to have agreed to the revised terms.
- In addition to these terms, the following additional terms also apply to your use of our platform (and are, where relevant, incorporated by reference into these terms):
- Our privacy and cookies policy plus other additional policies regarding for instance modern slavery or discrimination policies; and
- Any additional terms displayed on-screen or accessible via a link on the platform.
- All rights granted to you under these terms will terminate immediately if you are in breach of any of them, at any time.
About – the CarerWise platform
- CarerWise provides an online matching platform for self-employed care worker account holders and care recipient account holders, to enable communication between them via the system and to further enable connection and arrangement of a home care service agreement between one another:
This is facilitated through providing an online service, which include but are not limited to;
An online database of carers which securely stores carers personal information & work-related documents, which, when matched and only when deemed appropriate by the carer, allows the potential client to access via a secure link, pertinent documentation for their perusal.
An online database of clients, which holds personal and medical information in order to facilitate the engagement of suitably vetted, qualified and experienced carers, ensuring all care needs are met.
A client questionnaire where account holders can post securely held details of a care position they are looking to fill. A carer questionnaire, where carers can securely store personal information & document details.
Communication tools such as email and telephone (including mobile applications) to facilitate interaction between care workers and potential clients. Both care providers and care needers will receive potential job match notifications in real time.
Monitoring tools for the platform which can be used by account holders/care recipients to monitor care activity and review carers/clients (All feedback is welcome).
Feedback tools (including those controlled by approved third parties) on care quality and carer reviews.
- Platform provision
CarerWise is an introductory platform. CarerWise provides an online meeting place to facilitate the process of finding and hiring care professionals. The system introduces carers to care seekers. CarerWise does not directly supply or endorse carers to account holder/care recipients. For the avoidance of all doubt CarerWise does not employ or endorse care workers (through CarerWise Ltd), nor does CarerWise function as an employment agency or care agency. CarerWise does not hold care recipients’ monies or pay carers wages. As such, CarerWise is not permitted to amend a care recipient’s care plan, provide rotas or effect control over the delivery of care. For the avoidance of doubt this is always the responsibility of the account holder. We operate what we call a ‘self-managed model of care.’
- Managed care
For further avoidance of doubt, CarerWise does not provide or arrange for domiciliary care services or participate in the interaction between carer, clients and account holders, except to make introductions and provide the technology to facilitate the matching between client and carer.
Neither does it involve itself in the terms of use between carers and carer clients or the regulation of their engagement with each other. Carers should have their own contract and terms & conditions of employment for the client’s perusal and CarerWise strongly suggests that all clients see in person suitable documents the carer holds in their portfolio at the initial meeting.
A carer on the CarerWise platform solely decides whether to accept an offer of work from an account holder/care recipient to provide domiciliary care services. The account holder/care recipient solely decides whether to engage a carer to provide domiciliary care services.
- Platform constraints & waivers
The CarerWise platform is used at the account holder’s/care recipient’s and carer’s own risk and there is no guarantee that the platform will work optimally, not be subject to downtime, or removed from service at any point in time. CarerWise does not accept any liability for losses or damages caused by the unavailability of the service, technical errors, usage errors or use of the platform outside of the intended purpose. CarerWise denies any liability for controversies, losses, injury, accidents, claims or damages arising out of the use of the online tools it provides, the engagement of carers or the provision of care services by carers. CarerWise does have in place back up and in most eventualities, the website and information will be available within 24 hours.
We adhere to Cyber Essentials as recommended by The U.K. Government to show CarerWise is digitally secure to hold and store personal information.
CarerWise adheres to the U.K. Information Commissioners Office to comply with GDPR.
- Communications and video/audio calls
You agree that any apps, email, in-platform video/audio calls, WhatsApp or SMS will be the official means of communication with the CarerWise platform. We may occasionally use other messaging services or internal messaging to account holders via the platform.
As a business we take the welfare of all users of the platform as our number one priority. As such we reserve the right to monitor all and every communication(s) transmitted via the CarerWise platform. For clarity this involves recording and scanning using various artificial intelligence and in person all video/ audio calls through the platform. For safeguarding and training purposes we hold these recordings for a period of up to 30 days.
To maintain high levels of carer response times and overall quality control CarerWise may from time to time make use of a ‘mystery shopper’ to gauge carer response times and overall quality levels of client interaction. We also monitor all messaging on the site both manually and by using artificial intelligence. By agreeing to these terms & conditions you explicitly agree to a CarerWise ‘mystery shopper’ having the right to contact you on an ad hoc basis and the right of CarerWise to have oversight over all messaging on the platform. As a company policy we also believe in providing legitimate law enforcement with as much material help as is necessary if they are investigating a crime or allegations of malpractice. This includes giving them access to all or any relevant communications data we may hold.
- As part of the CarerWise introduction, care workers and potential clients can communicate only after acceptance of a job proposal. This will allow potential clients to message their interest in a particular carer and arrange a call in real time. A decision to accept this request is entirely at the discretion of both parties but enables both the carer & client to make any further arrangements or ask any questions.
The platform
- Checking of Carers
CarerWise includes visual (to the potential client account holder & potential client only) and online secure storage (for the carer account holder) of Passports/Identity cards to confirm identity and right to live and work in the UK, including stated qualifications and training certificates where available, DBS (PVG, Scotland) (NI Access, Northern Ireland) checking, national insurance number and UTR number (if already issued).
Although CarerWise ensures that all identity checks & qualifications are uploaded and checked prior to admittance to the platform and makes checks to confirm correct document adherence, CarerWise is not responsible for, nor has it control over, the quality, timing, legality, reliability, responsibility, integrity, or suitability of the self-employed carers listed on the platform. CarerWise strenuously recommends that the account holder/care recipient carry out their own vigorous assessment of a carer’s suitability by checking that the visual I.D, business insurance, dates of use and ability to work in the UK are confirmed in person before engaging into any type of service agreement.
CarerWise Admin will verify identity and suitability from uploaded documents to the CarerWise system, before an account can be enabled:
- Carers identity via uploaded photographic ID.
- Enhanced D.B.S, Business Insurances (such as, Professional Indemnity Insurance, Public Liability Insurance, Vehicle Insurance for business use),
- Permission to work in the UK,
- Further documents and information may be added, such as Experience and Work History, Training Certificates, Qualifications, Authorisations from Member Bodies, Contract, Complaints Procedure, Risk Assessment forms, UTR and any other suitability for the position they are applying for.
- By following up on references supplied to clients from potential carers, either by telephone or email to any of their referees.
CarerWise Ltd does not provide sponsorship.
- Insurance cover
Carers should be covered by self-employed carer’s insurance, which is the sole responsibility of the carer to arrange. We recommend that account holders/ care recipients should check if their own insurance also covers carers working in their home.
- Account holder/care recipient/ carer code of conduct
No user of the CarerWise platform may discriminate against a health care worker or a client or account holder based on colour, nationality, creed, disability, sex or any other potential source of discrimination. In addition, you represent and warrant that you if you are a carer or a client, you and every member of your household have never been the subject of a complaint, restraining order or any other legal action involved with being arrested for, charged with, or convicted of any criminal offence that involves endangering the safety of others, through either dishonesty or negligence, and are not nor have ever been on the sex offenders register or other similar list.
Paying for care
- When a client enters into a service agreement with a carer by use of the CarerWise matching platform, the carer rate of pay is agreed between the client and the care worker before commencement of work.
Legal Contract
- Once a client has accepted the service agreement/contract set up by the carer, they are bound by the terms of that agreement/contract. CarerWise can offer no mediation or intervention regarding perceived non-compliance with any service agreement/contract.
User conduct and disputes
- Any agreements/contract are a legally binding agreements/contract between the care recipient and the carer. CarerWise are not party to any agreements/contracts. We cannot arbitrate or mediate if there is an alleged breach of agreement/contract. Any issues should be resolved directly between account holder/care recipient and the carer. CarerWise does not accept any liability for claims, demands or direct or indirect damages arising from minor disputes between account holder/care recipient and carers.
- At CarerWise we rate the safety and well-being of our carer and their care recipients as our number one priority. Any formal complaint we receive directly to CarerWise, from either a carer/ client or ancillary services account holder, that is of a serious nature will be immediately investigated using our complaints procedure.
If clients or carers have any complaints about any aspect of the platform, our services or staff or any other user of the platform please email admin@carerwise.com.
Depending on the severity of the allegation and its nature CarerWise reserves the right to immediately inform the police or Adult Social Care of any complaint or concern that we may become aware of.
We also reserve the right to immediately remove or suspend the account of any carer, care recipient or care recipient’s lawful executive from the platform, whilst we investigate any complaint or allegation. We also reserve the right to inform other account holders if an allegation, complaint or investigation pertaining to their care worker is occurring or on going.
- You may only book care services for yourself or for someone for whom you have authority to do so (including the authorisation of service agreements and payment). You will remain bound by these terms and are responsible for all acts and omissions of the person receiving the care (if it is not you).
- We will close the account of any carer who is found to be misusing illegal substances or alcohol whilst assisting a client.
- we will immediately close an account if a client uses the CarerWise system for their own personal gratification that is unrelated to medical or ongoing care needs/requirements.
- We will immediately close an account of a carer who abuses the CarerWise system and has knowingly provided false information to gain employment with vulnerable clients and inform any relevant legal bodies immediately.
- All closed accounts will be kept in a separate list in case of future identification by law enforcement or government bodies.
Client and Carer Services Feedback
- Clients may provide the platform with feedback on carers, and carers may provide feedback regarding clients, via any portal we provide through the platform. Carers and account holders may also provide feedback via third parties such as Trustpilot.
Your account
- To register an account and make use the platform, if you are an individual or authorised agent, you must be at least 18 years old. If you are registering as a carer, you must be at least 21 years old. We are not obliged to accept any registration request and absolutely reserve the right without any explanation to refuse any registration request and or cancel any authorised accounts without notice. You also agree not to register more than one account per person or corporate entity.
- Upon registration we may ask for the following information:
- Your personal information, name, age, home address, email address and phone number(s).
- The type of care required
- Details of who the care is for, and if this is not you then confirmation that you have their authority to arrange the care services, authorise service agreements and make payments on their behalf.
- and in the case of carers ID, documents including passports or driving licence, copies of DBS, PVG etc and evidence of qualifications and trade body memberships. Covid vaccination status can be stated if you wish but is not mandated.
- How you are funding your care, whether privately or through a charity or Trust.
- Any other information we think we should know about you, or which is requested by us.
- You must ensure the information in your account is accurate, up to date, and kept always updated (which you may do through personal access to the platform at any time).
- Both clients and carers can close their accounts via the app in the settings menu or on the ‘My Profile’ section via the website.
Payments and CarerWise fees
- Payment transactions are subject to validation checks by your card issuer and we are not responsible if your card issuer declines to authorise payment for any reason. Please note it is possible that your card issuer may charge you an online handling fee or processing fee. We are not responsible for this.
Care rates are always set by the carer and contractually agreed by the account holder/care recipient.
CarerWise Ltd reserves the right to alter the terms of its fee structure at any time. Any new fee rates will come into effect immediately or on the date specified by CarerWise Ltd. Any changes in the fee structure will be notified to the carer account holder by email and/or SMS.
CarerWise Ltd retains the right to choose or change any reliable card authentication service that processes card payments.
We offer affordable payment plans, utilizing an online payment gateway, ensuring access to the carer and client matching system for 12 months:
- £33.33 in 3 equal payments over three months (using the PayPal Pay Later option)
- £99.99 as a one-time payment. (equivalent to £8.33 per month)
All options allow you use of the matching system and any associated future additions to the website on a 12 month subscription basis, once payment has been received. Any discounts or benefits will be at CarerWise Ltd’s discretion.
Unlike many others, CarerWise will not charge a finder’s fee or take any percentage of earnings made by carers who gain self-employment from our system. Care seeker requests will remain free.
* Minimum contract for carers is 12 months subscription on all payment plans. Cancellation before the end of the 12 month term, if on 3 monthly payment plan, will incur any remaining payments in the 12 month term, to be paid immediately *
Recommending another carer who then subscribes, earns you 1 FREE month per recommendation, ONLY applicable after the recommended carer also pays for a 12 month subscription. These go into your personal carer bank for future use.
Both the carer and the recommended carer/s must pay in full for 12 months subscription before any banked months are applied after month 12.
- VAT
Under current UK VAT law neither CarerWise nor the carers charge VAT on the service provided by self-employed carers/carer companies to their clients. We are however obliged to charge VAT of 20% on our subscription fees.
Data Protection and GDPR Compliance

- Kept in a form which permits identification of data subjects for no longer than is necessary.
- Processed in a manner that ensures appropriate security.

Access to the Platform
- You may only use the platform to make an account to apply as a carer looking for a client match or as a client looking for care and only in accordance with these terms.
- We cannot guarantee the continuous, uninterrupted or error-free operation of the platform. We may modify or suspend (including for maintenance) the platform at any time.
Platform rules
- You may only use the platform to search for and engage care services for which you have a genuine need, and not for any other kinds of service. We reserve the right to report any illegal acts to the authorities.
- You must not create links to the platform from any other website, without our prior written consent, ‘scrape’ content from the platform or create an electronic database by systematically downloading and storing any or all of the content of the platform, remove or change any content of the platform or attempt to circumvent security or interfere with the proper working of the platform.
- You must only use the platform and anything available from the platform for lawful purposes (complying with all applicable laws and regulations), in a responsible manner, and not in a way that might damage our name or reputation or that of any of our associates or partners.
- Any lewd or inappropriate messaging on the platform by either a carer or an account holder/ client will result in immediate removal from the platform.
Intellectual property rights and confidentiality
- All intellectual property rights in the platform and in any content on the platform (including text, graphics, software, photographs and other images, videos, sound, trademarks, algorithms and logos) are owned by CarerWise Ltd. You acknowledge that you do not acquire any ownership rights in any of our intellectual property by accessing or downloading content from the platform.
- We will keep all individual information about you confidential save for sharing it where appropriate as required by applicable law, and we will ensure (as best we can) that potential or engaged carers keep it confidential and only use it for the purposes of providing care services to you.
- You must keep all information you receive about clients or carers or their affairs confidential always (including any information you receive or access through the matching platform, whether a successful match is made and accepted or not).
Platform content
- In respect of content on the platform, whilst we try to make sure it is correct, we cannot guarantee it is accurate or up to date. We have no responsibility for content from any other user.
- We give no representation or warranty as to the accuracy, completeness, currency, correctness, reliability, integrity, quality, fitness for purpose or originality of any content of the platform and, to the fullest extent permitted by law, all implied warranties, conditions or other terms of any kind are hereby excluded and we accept no liability for any loss or damage of any kind incurred as a result of you or anyone else using the platform or its associated apps or relying on any of its contents or features.
- We cannot and do not guarantee that any content of the platform will be free from viruses and/or other code that may have contaminating or destructive elements, although we do have stringent security protocols in place. It is your responsibility to implement appropriate anti-virus and other security checks.
Choosing a carer
- By registering and using the CarerWise platform as a person seeking care you agree that is your responsibility to select an appropriate carer for yourself, your family member, any friend/ associate or any other person you may be acting on behalf of. The CarerWise platform can help you find a qualified carer, through the matching process, however CarerWise will not select a carer for you and the final choice always remains with you.
- Regarding any feedback or reviews on the platform or approved carers (including but not only Trustpilot reviews), you must:
- Submit it in good faith and honest belief at all times.
- Not submit any feedback that is unlawful, threatening, abusive, libellous, pornographic, obscene, vulgar, indecent, offensive or which infringes on the intellectual property rights or other rights of any third party.
- Not submit any feedback that contains any viruses and/or other code that has contaminating or destructive elements; and/or
- Not impersonate, or misrepresent an affiliation with, any person or entity
- You agree that, by submitting any feedback, you grant our affiliates and us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free and fully sub-licensable right and license to use such feedback for the purposes of operating and promoting the platform or for reporting any criminal acts.
Platform Links
- The platform may include links to external sites, which may include links to third party offers and promotions. We include these to provide you with access to information, products or services that you may find useful or interesting. We are not responsible for the content of these sites or for anything provided by them and do not guarantee that they will be continuously available.
Liability
- Introduction
CarerWise Ltd acts solely as an introductory service between care providers and care needers. We do not employ carers and are not responsible for the actions or omissions of any carer introduced through the use of our online service.
- Limitation of Liability
To the fullest extent permitted by law, CarerWise Ltd shall not be liable for any direct, indirect incidental, special, consequential or punitive damages, including but not limited to, loss of profits, data, use, goodwill or other intangible losses, resulting from:
- The use or inability to use our service.
- Any conduct or content of any third party on our service.
- Any content obtained from our service.
- Unauthorized access, use, or alteration of your transmissions or content.
- No Warranty
CarerWise Ltd makes no representations or warranties of any kind, express or implied as to the operation of the service or the information, content, materials or products included in the service. You expressly agree that the use of the service is at your sole risk.
- Indemnification
You agree to indemnify, defend and hold harmless CarerWise Ltd, it’s officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable legal fees) relating or arising out of your use of or inability to use the service, any user postings made by you, your violation of any terms of this agreement or your violation of any rights of a third party or your violation of any applicable laws, rules or regulations.
- Governing Law
This liability clause shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
Clients acknowledge that the decision to enter a contract with an approved carer is your sole choice and responsibility and that CarerWise ltd gives no warranty as to the suitability, experience, history or character of any carer, nor does CarerWise Ltd give any warranty as to the completeness, truthfulness or accuracy of any information or documentation provided by the carer.
Platform risks and carer and client safety
- You agree that you understand the risks involved in participating in an introductory agency service and you hereby wave any rights to claims for damages from CarerWise in relation to the service.
- That said, at CarerWise, client and carer safety and well-being are our number one priority. Thus, we are constantly seeking to improve and update the technology on our platform for the safety and security of all relationships and financial exchanges. These updates and features include but are not exclusively the following.
- Verification of clients and carers mobile telephone numbers and emails via email verification or one time password (OTP) confirmation.
- Any other type/s of verification to keep accounts safe and secure, as deemed necessary and appropriate by CarerWise Ltd to conform to the highest levels of virus/scanning/hacking upgrades and cyber developments.
- The retention of all appropriate data including but not limited to, platform messaging, emails, WhatsApp’s, and any recorded voice calls that CarerWise deems necessary and appropriate to ensure the highest levels possible of client and carer security.
Breaches of CarerWise terms and conditions
- You agree to indemnify and hold CarerWise harmless from any claim or demand brought against CarerWise because of you breaching any of these terms and conditions.
Liability cap
- For the avoidance of doubt any care worker hired through the use of the CarerWise platform is liable themselves for all acts or omissions in the provision of home care services.
- Nothing in these client and care assistant terms shall exclude or limit our liability to you:
- For death or personal injury caused by our negligence.
- For fraudulent misrepresentation or
- For any other liability that may not, under applicable law, be excluded or limited.
- Subject to section 14.1, we shall not be liable to you (whether such liability arises because of a breach of contract, negligence, misrepresentation or for any other reason) for any loss or damage that arises because of:
- Any circumstance for which you are at fault or
- Any circumstance which we cannot reasonably be expected to control.
- You agree to fully indemnify us on demand against all losses we incur or suffer arising because of or in connection with:
- Any breach of sections 6.2, 8.3, 9.1, 13; and/or
- Any claims brought against us by any carer/care recipient that is based on any breach (or allegation of any breach) of these client terms by you or vice versa, or any criminal act or omission on your behalf.
- We will treat all use of the CarerWise platform under your login details as use by you. You are responsible for protecting your account login details and password and we will not be held liable for any loss or damage that may result from your failure to do so. If you forget your password or wish to change your password, then email admin@carewise.com for help in accessing your account.
General
- Subject to 21.2, these account holder terms and any other terms expressly referred to in them represent the entire agreement between you and us in relation to their subject matter.
- We may sub-contract the performance of any of our obligations to you. We may assign any of our rights or obligations to you to someone else, if we notify you that we have done so. You may not sub-license or assign any of the rights or obligations under these account holder terms.
- If we fail to enforce, or delay in enforcing, any of our rights under these account holder terms, that does not result in a waiver of the rights concerned.
- If any provision of these account holder terms or any other terms incorporated by reference is found to be unenforceable, it shall not affect the enforceability of any other provisions they contain.
- No terms are enforceable under the contracts (rights of third parties) Act 1999 by a person who is not a party to the agreement between us.
- All notices given by you to us or vice-versa must be given by email or in writing to the address provided. We may give notice to you at either the email or postal address you provide to us when registering.
- These client terms are governed by English law.
Vaccinations
- Specifically, Covid 19 vaccinations.
CarerWise Ltd policy regarding Covid vaccinations is that it is entirely the choice of carers and their clients as to whether they feel it appropriate to have a Covid vaccination. That said, it is advisable to allow clients to see whether a carer has had a Covid vaccination should a client ask for proof and for carers to demonstrate the proof that they have had it.
Arbitration Clause
- Any dispute, controversy, or claim arising out of or relating to this contract, including the validity, invalidity, breach, or termination thereof, shall be resolved by arbitration in accordance with the Arbitration Act 1996. The arbitration shall be conducted by a sole arbitrator appointed by agreement between the parties. If the parties are unable to agree on the appointment of an arbitrator within 30 days of a request for arbitration, the arbitrator shall be appointed by the President of the Chartered Institute of Arbitrators (CIArb) or, if CIArb is unable to make the appointment, by the London Court of International Arbitration (LCIA).
- The seat of arbitration shall be London, United Kingdom, and the language of the arbitration shall be English. The arbitration award shall be final and binding on the parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
